Legal terms and conditions for using Vebio

Welcome to Vebio. These Terms and Conditions ("Terms") govern your access to and use of the Vebio website, products, and services (collectively, the "Services"), operated by Vebio ("Vebio," "we," "us," or "our").

Important: By creating an account, or by accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

1. Use of Our Services

A. Eligibility:

You must be at least 18 years old and have the legal authority to enter into this agreement to use our Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

B. Your Account:

You are responsible for safeguarding your account information, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

C. Prohibited Conduct:

You agree not to use the Services to:

  • Violate any applicable local, state, national, or international law, including but not limited to the Telephone Consumer Protection Act (TCPA), the Fair Debt Collection Practices Act (FDCPA), and HIPAA.
  • Upload or transmit any data that is unlawful, harassing, defamatory, or infringing on any third-party rights.
  • Engage in any activity that is harmful to our Services, servers, or networks.
  • Attempt to reverse-engineer, decompile, or otherwise discover the source code of our platform.

2. Client Data and Responsibilities

A. Ownership:

You retain all ownership rights to the data you upload to the Vebio platform ("Client Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, process, and transmit Client Data as necessary to provide the Services to you.

B. Your Responsibility for Data:

You are solely responsible for the accuracy, legality, and quality of your Client Data. You represent and warrant that you have obtained all necessary rights, releases, and permissions to provide the Client Data to Vebio and to authorize its use as described in these Terms. It is your responsibility to ensure that your use of the Services to contact your customers is compliant with all applicable laws.

C. Indemnification:

You agree to indemnify, defend, and hold harmless Vebio and its officers, directors, employees, and agents from any and all claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising out of or related to your Client Data or your breach of these Terms.

3. Fees and Payment

A. Subscriptions:

Our Services are billed on a subscription basis. You will be billed in advance on a recurring, periodic basis ("Billing Cycle"). Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it.

B. Fee Changes:

Vebio reserves the right to modify the subscription fees at any time. We will provide you with reasonable prior notice of any change in fees to give you an opportunity to terminate your subscription before such change becomes effective.

4. Intellectual Property

The Services, including all related software, technology, and content (excluding Client Data), are the exclusive property of Vebio and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Vebio.

5. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

6. Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

IN NO EVENT SHALL VEBIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICES.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State, e.g., California], without regard to its conflict of law provisions.

8. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to use our Services after those revisions become effective, you agree to be bound by the revised terms.
